Terms of Service

These Terms of Service ("Terms") govern your use of SteadyFlow's services, including our AI chat agent platform and website at westeadyflow.com. By signing up or using our services, you agree to these Terms. If you do not agree, do not use our services.

1. Services
SteadyFlow builds, configures, hosts, and maintains custom AI chat agents for service businesses ("Clients"). Our services include website content scraping and indexing, AI response generation, lead capture, and a client dashboard for managing agent settings and reviewing performance.
We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice. We will not make material changes that negatively impact your service without notifying you first.
2. Payment Terms
Our current pricing consists of a one-time setup fee and a recurring monthly fee. Both amounts are agreed upon at the time of signup and confirmed in writing before work begins.
The setup fee is due before agent configuration begins and is non-refundable once work has started. Monthly fees are billed in advance at the start of each billing period. If a payment fails, we will notify you and provide a grace period of 7 days before service is paused.
Founding member pricing, including any discounts agreed upon at signup, is locked in for the lifetime of your subscription, provided the account remains active.
3. Cancellation
You may cancel your subscription at any time by contacting us at ashton@westeadyflow.com. Cancellations take effect at the end of the current billing period, and you will retain full access through the date already paid for. No partial-month refunds are issued.
Upon cancellation, your agent will be deactivated and your data will be retained for 30 days before permanent deletion, unless you request earlier deletion.
4. Client Responsibilities
You agree to:
- Provide accurate, up-to-date content for your agent's knowledge base
- Ensure your use of SteadyFlow complies with all applicable laws and regulations in your industry
- Not use our platform to distribute false, misleading, or illegal information
- Promptly notify us of any suspected unauthorized access to your account
- Maintain responsibility for how your agent interacts with your customers
If you operate in healthcare or another regulated industry, you are solely responsible for ensuring your use of SteadyFlow complies with applicable regulations, including HIPAA. SteadyFlow provides a technology platform and does not act as a covered entity or business associate unless a separate Business Associate Agreement (BAA) has been executed.
5. Intellectual Property
You retain ownership of all content you provide to SteadyFlow, including your website content, documents, images, and business information. By providing this content, you grant SteadyFlow a limited license to use it solely for the purpose of building and operating your AI agent.
SteadyFlow retains ownership of the platform, software, system prompts, and all underlying technology used to deliver the service. Nothing in these Terms transfers any intellectual property rights in the platform to you.
6. AI Limitations and Accuracy
AI-generated responses may occasionally be incomplete, outdated, or incorrect. SteadyFlow agents are designed to only answer from approved content and to acknowledge uncertainty when appropriate, but we cannot guarantee that every response will be accurate.
AI agents on our platform are not a substitute for professional advice, whether medical, legal, financial, or otherwise. You are responsible for ensuring your agent does not make claims beyond what your content supports.
7. Disclaimer of Warranties
The services are provided "as is" and "as available." SteadyFlow makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted service. We do not guarantee that the platform will be error-free or available 100% of the time, though we strive for high availability.
8. Limitation of Liability
To the maximum extent permitted by law, SteadyFlow's total liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total fees you paid to SteadyFlow in the three months preceding the claim.
SteadyFlow shall not be liable for any indirect, incidental, special, or consequential damages, including lost profits or lost data, even if we have been advised of the possibility of such damages.
9. Indemnification
You agree to indemnify and hold SteadyFlow harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the services, your violation of these Terms, or your violation of any third-party rights.
10. Modifications to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you by email at least 14 days before the changes take effect. Continued use of the services after the effective date constitutes acceptance of the updated Terms. If you do not agree to the changes, you may cancel your subscription before the effective date.
11. Governing Law
These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved in the courts of Colorado, and both parties consent to personal jurisdiction in that venue.
